(1) Eligibility: Contest is open to all natural persons aged 21 and older who are legal residents of the U.S. or Canada and who are registered members of Guyville.com ("Contestant"). Contestant must be an individual person; group entries are not permitted. Employees, independent contractors, officers and directors of Sponsor, its affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors, and their immediate family members and persons living in their same household, are not eligible to participate in Contest. Sponsor's determinations regarding Contest are final and binding. Void where prohibited. No purchase is necessary to participate in this contest.

(2) How To Enter: Access Sponsor's web site, located at http//www.guyville.com" and follow instructions to become a registered member.

Contestants are bound by these rules, as well as the terms & conditions for Guyville.com membership, which are incorporated by reference. Contestants may not register for membership multiple times, and any attempt to do so may result in disqualification from the Contest.

(3) Prizes: The Prize winner will receive a trip for the Prize winner and one friend to Las Vegas, NV on the dates of February 13-16. The Prize winner and friend will receive round-trip airfare from the major airport closest to their home to Las Vegas, NV. The Prize winner and friend will also receive a room at the Las Vegas Hilton for the dates of February 13-16 and one dinner at the Hilton Steakhouse.

No alternative prize, cash, or other substitution is allowed except by Sponsors. Prizes must be accepted as awarded and are non-transferable. All federal, state, and local taxes are the sole responsibility of the winners.

Winners are determined by Guyville.com. Guyville.com shall pick a winner randomly from the database of registered members of the site.

(4) Winner Notification: All winners will be notified by e-mail or telephone on or about Friday, January 7, 2000. Sponsor is not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify winners. Winners may be required to sign and return a liability release, affidavit of eligibility, license agreement, and, where lawful, a publicity consent agreement, to be returned within 48 hours of notification. If a selected winner cannot be contacted, is ineligible, fails to claim a prize, or fails to comply with any term or condition of these Official Rules, prize may be forfeited and an alternate winner selected.

(5) Terms and Conditions: Conduct of Contest and ultimate selection of winners are in the sole discretion of Guyville.com whose decisions are final and binding. Sponsor is not responsible for and shall not be liable for: (i) lost, late, delayed, damaged, incomplete, illegible, unintelligible, or misdirected entries; (ii) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind; (iii) failed, incomplete, partial, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond the control of Sponsor that may cause the Contest to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of a prize, or acceptance, possession, or use of a prize, or from participation in the Contest; or (vi) any printing or typographical errors in any materials associated with the Contest. Sponsor reserves the right to suspend, cancel, or modify the Contest if fraud or technical failure corrupts the administration, security, or proper play of the Contest, as determined by Sponsor in its sole discretion. Each Contestant agrees to release and hold Sponsor harmless from any and all losses, damages, rights, claims, and actions of any kind in connection with the Contest or resulting from acceptance, possession, or use of any prize, including without limitation, personal injury, death, property damage, and claims based upon publicity rights, defamation, or invasion of privacy.

Requests for winners list must be received by February 10, 2000.
